Manager, Corporate Secretariat & Services (MCSS)

The Manager, Corporate Secretariat & Services supports the CEO and the effective operations of the Board of Directors and Board Committees and will assist the organization in meeting various corporate and regulatory obligations.
In this capacity, the Manager is responsible for: the preparation of Board schedules and agendas; coordinating and/or drafting Board and committee materials required, ensuring the information provided is accurate and in compliance with by-laws, workplans and good governance practices; maintaining corporate records and minute books; liaising with Board members and representatives of the shareholder; and, implementing various corporate regulatory compliance programs.
The Manager will also oversee and co-ordinate the provision of support services to various members of the Executive Group. This position will be of interest to a team player who demonstrates initiative and wants to contribute in a results-oriented fashion towards the efficient operations of the Board of Directors and the Executive Group.
The Ideal Candidate should:
- have post-secondary education in business, corporate governance or administration, paralegal services, or equivalent experience; corporate governance certification such as the GPC designation is preferred
- have prior corporate governance experience, ideally within highly regulated industries
- be exceptionally organized and detail-oriented
- possess excellent time-management skills with ability to work under pressure to meet varying deadlines, remaining calm with a sense of urgency while maintaining a positive, team-driven approach
- demonstrate strong written and verbal communication skills
- be a self-starter who takes the initiative to complete activities
- demonstrate a high level of discretion and tact when handling confidential information
- possess excellent relationship management skills to work collaboratively and strategically at all levels of the organization
- be comfortable working with Microsoft Office suite of products (intermediate level) and have prior experience working with Diligent or similar board software applications; knowledge of good database/records management practices is strongly preferred
